Terms of Services
Effective Date: October 25, 2026
1. Introduction
These Terms of Service ("Terms") govern the provision of digital marketing, advertising, distribution, and pitching services by Human Music Marketing, operating as a registered sole proprietorship under Robbe Ghysen (Altered Music), located in Bocholt, Belgium ("we," "us," or "our"). By engaging our services through humanmusicmarketing.com or directly, the client ("you," "your") agrees to be bound by these Terms.
2. Scope of Services
Human Music Marketing provides tailored music marketing services, which include but are not limited to strategy calls, digital ad campaign setup and management, music distribution, and playlist pitching to third-party curators and streaming platforms.
3. Pricing and Financial Terms
-
Minimum Engagement: Campaigns require a minimum investment of €1,000, exclusive of the standard 21% Belgian Value Added Tax (VAT).
-
Payment Upfront: All campaign fees must be paid 100% upfront in full. No services, campaign setups, or ad placements will commence until the cleared funds have been received in our designated bank account.
-
Fund Allocation: Your total payment (excluding VAT) is strictly allocated as follows:
-
70% is dedicated directly to operational campaign costs, including digital ad spend across platforms (e.g., Meta, TikTok...), campaign setup, distribution fees, and pitching fees.
-
30% is retained by Human Music Marketing as our commission and agency management fee.
-
4. Payment Clauses
-
Invoicing: Upon agreement of the campaign scope, an invoice will be issued. Payment is due immediately upon receipt to secure the campaign timeline.
-
Refund Policy: Because ad spend is immediately allocated and third-party curators/platforms are engaged upon payment, campaign fees are strictly non-refundable once the invoice has been settled and the campaign setup has begun.
-
Default and Collections: Any auxiliary invoices (e.g., agreed-upon scope extensions or audit fees) not paid within 14 days of the invoice date will accrue late interest at the standard Belgian statutory rate for commercial transactions, plus a flat administrative recovery fee of 10% of the outstanding amount (minimum €50).
5. Reporting and Auditing
-
Performance Reporting: Upon the conclusion of the agreed campaign duration, Human Music Marketing will provide a comprehensive final report. This report will include detailed campaign performance metrics and clear proof of all ad spending and fund allocation.
-
Right to Audit: You have the right to request a deeper, independent financial audit of your specific campaign’s expenditures and platform receipts. This audit must be requested within 30 days of receiving the final report. Any such audit will be conducted entirely at your own expense.
6. Client Responsibilities and Intellectual Property
-
Asset Delivery: You are responsible for delivering all necessary assets (audio files, cover art, video content, platform access) required to launch the campaign within the agreed timeframe. Delays in asset delivery may result in campaign delays for which we are not liable.
-
Rights and Clearances: You represent and warrant that you own or possess all necessary rights, licenses, and permissions for the music, artwork, and content provided to us. You agree to indemnify and hold Human Music Marketing harmless against any copyright infringement claims, takedowns, or legal disputes arising from the materials you provide.
7. Disclaimers and Guarantees
-
Third-Party Platforms: Our campaigns rely on third-party entities, including advertising networks (Meta, Google), streaming platforms (Spotify, Apple Music), and independent playlist curators. We do not control their algorithms, policy updates, or editorial decisions.
-
No Guaranteed Results: While we utilize data-driven strategies and professional pitching networks to maximize your release, we cannot guarantee specific metrics, such as a predetermined number of streams, followers, or editorial playlist placements. You pay for the service, not the results.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Human Music Marketing’s total liability for any claims arising out of or related to our services shall not exceed the 30% commission fee retained by us for the specific campaign in dispute. We are not liable for incidental, consequential, or indirect damages, including lost royalties or lost touring revenue.
9. Governing Law and Jurisdiction
These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Belgium. Any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the competent courts of the judicial district of Limburg, Belgium.
